  TERMS AND CONDITIONS OF USAGE
IN CONSIDERATION FOR USING THE WEBSITE (AS HEREINAFTER DEFINED) YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING:-
  1 GRANT OF LICENCE

    1.1 We, Prudential Assurance Company Singapore Pte Ltd, shall grant you a non-exclusive, non-transferable license to use the SFAOnline (the "Website") solely for the purposes of enabling you to carry our your duties and obligations under your Agency Agreement with us. The Phrase "the Website" shall be deemed to include any improvements, enhancements, modifications, upgrades, patches, improved versions (collectively "the Improvements") and all materials, documentation, instructions, source code, user manuals and the like in connection thereto to be supplied as part of the Services as defined hereinafter ("the Documentation").

    1.2 The Website is provided on an "AS IS" basis. By accepting the terms of the Website, you agree that we are permitted to limit, deny, create different priorities for different users, update or cancel some or all of the functionality of the Website. We make no warranties or guarantees as to the reliability or availability of the Website.

    1.3 The Website may be changed, updated, limited or terminated at any time, temporarily or permanently, without prior notice, for any reason by us in its sole discretion.

    1.4 To access the Website, you will be required to provide a User ID, Personal Identification Number ("PIN") and One-time Password ("OTP"), which will only be known to you. In order to safeguard your PIN and OTP, you should do the following:
        a. Change your PIN immediately once you receive your PIN mailer and destroy the PIN mailer.
        b. Memorise your PIN and do not disclose it to anyone.
        c. Do not store your PIN or write it down anywhere.
        d. Regularly change your PIN.
        e. Do not use passwords that relate to your daily life (for example, car plate number, identity numbers or date of births of yourself or your close ones).
        f. The PIN will expire after 180 days from the date of the last changed PIN.
        g. PINs should be:
    - 8 alphanumeric characters
    - Consist of at least 1 upper case
    - Consist of at least 1 lower case
    - Consist of at least 1 numeral
    - Different from the previous PINs used within the last 180 days
        h. PINs should not be used for different websites, applications or services, particularly when they relate to different entities.
        i. Switch off "Auto-complete" in your Internet Options.
        j. Clear your cache and browsing history after you have logged out from the Website.
        k. PINs and OTP should never be revealed to anyone. This applies to our staff, including those extending technical assistance to you.

    1.5 We have taken security measures to ensure that your personal information is protected and secure. These include:
        a. Using 128-bit strong Secure Sockets Layer (SSL) technology to achieve the desired maximum security to protect the information transaction over the Internet. SSL protocol provides a secure "end to end" communication and also validates our website's authenticity.
        b. Inactive sessions are timed out to prevent unauthorized use in case you accidentally leave the session logged on after you have finished your transactions.
        c. Reviewing and conducting risk assessment on our web application to ensure your interest is protected.

    1.6 Our web application stores a small piece of transient information on your computer hard drive, generally known as a "Cookie." Cookies are necessary to allow the web application to identify or remember whether you have logged into the web application to access your account. This information is used only by Prudential. If you override automatic cookie handling, you will not be able to use our Website.
  2 OWNERSHIP   

    2.1 You shall have no ownership or other rights in and to the Website. The Website and the copyright and other intellectual property and proprietary rights of whatever nature in connection with the Website are and shall remain our property.

    2.2 You shall notify us immediately if you become aware of any unauthorised use of the whole or any part of the Website by any person.
  3 RESTRICTIONS        

    3.1 You shall not (whether by yourself or any other party at your direction):-
        a. copy, publish, display, disclose, sub-licence, rent, lease, modify, loan, distribute, or create derivative works based on the Website or any part thereof,
        b. reverse-engineer, decompile, translate, adapt, or disassemble the Website or any part thereof, nor shall you attempt to create any source code from the object code of the Website, or
        c. permit the Website or any part thereof to be combined with or become incorporated in any other computer programs.
  4 CONFIDENTIALITY   

    4.1 You shall treat as confidential and keep secret all information contained or embodied in the Website and all information in connection thereto conveyed to you through any training provided to you by us or any party designated by us (hereinafter collectively referred to as "the Information").

    4.2 You shall not without our prior written consent divulge any part of the Information to any person except as may be required by law.

    4.3 The foregoing obligations as to confidentiality shall remain in full force and effect notwithstanding any termination of the arrangements and the rights and licences.
  5 SECURITY AND CONTROL   

    5.1 You shall effect and maintain adequate security measures to safeguard the Website from access or use by any unauthorised person and retain the Website under your effective control.
  6 DISCLAIMER   

    6.1 You acknowledge that the use of the Website is being licensed to you at no charge and accordingly we disclaim all warranties of any kind, either expressed or implied, including without limitation, implied warranties of merchantability, satisfactory quality and fitness for a particular purpose. We do not warrant that the functions contained in the Website will meet any requirements or needs you may have, or that the Website will operate error free, or in an uninterrupted fashion, or that any defects or errors in the Website will be corrected, or that the Website is compatible with any particular platform. However, should the Website not operate in proper order, we may at our discretion take whatever steps which we may deem necessary to correct any error or defect.

    6.2 In no event will we be liable to you or any third party for any damages (including, without limitation, indirect, special, consequential, punitive, or exemplary damages for loss of business, loss of profits, business interruption, or loss of business information) arising out of the use of or inability to use the Licensed Software, or for any claim by any other party.
  7 TERMINATION   

    7.1 We may terminate all arrangements, rights and licences granted hereunder by giving you notice in writing and upon such termination, you shall cease immediately from using the Licensed Software and shall delete any copies of the downloaded Licensed Software.

    7.2 No termination as aforesaid shall in any way prejudice our rights and remedies which may have arisen or accrued prior and up to the date of termination.

    7.3 All provisions relating to confidentiality, proprietary rights, and non-disclosure shall survive the termination as aforesaid.
